Braintrust Terms of Service – Client Accounts

1. Your Conduct. In connection with your use of the Site Services, you represent and warrant that you will submit thorough and thoughtful Projects that will provide Talent with accurate and detailed information sufficient for them to understand the Project you would like to have completed.
2. Client Obligations to Freelancer. Client acknowledges and agrees that performance of the Freelancer Services depends, in part, on Client’s actions. Client agrees to provide Freelancer any necessary information, cooperation, and assistance in connection with the Project. Freelancer will report directly to a designated employee or contractor of Client (“Client Contact”). Client Contact will provide Freelancer reasonable and lawful instructions, expectations, specifications and requirements for the Freelancer Services. Client Contact will be responsible for setting, reviewing, or monitoring the overall project schedule, work schedules, Work Product, and all other aspects of the Project and for coordinating the same with Freelancer. Freelancer is otherwise responsible for the method, manner and means of performing the Freelancer Services.
3. Warranty Disclaimer. Client acknowledges and agrees that Client is solely responsible for ensuring that Talent meets Client’s expectations. Client further acknowledges and agrees that Talent Node does not control or direct Talent and does not make any warranty or guarantee with respect to Talent, Talent’s work product, or User Engagements.
4. Prohibited Uses of the Site. In addition to the prohibited uses set forth in the Terms, you also agree not to do any of the following:
(a) Spam other Users with Projects or requests for Bids or posting the same job multiple times so that more than one version remains active at a given time;
(b) Request or demand free services, including but not limited to requesting Talent to submit work as part of the Bid process for very little or no money or posting promotions, including contests, in which Talent submits work with no or very little pay, and only the winning submission is paid the full amount;
(c) Submit any Projects or User Content, other than reviews or ratings, that comment on Talent or other Users;
(d) Submit any reviews or ratings that are not based upon your actual first-hand experiences with the Talent that you are reviewing;
(e) Work for, own any interest in or serve on the board of directors of, any of the Talent for which you submit reviews and ratings; or be related (by blood, adoption or marriage, if the Talent is an individual) to any of the Talent for which you submit reviews or ratings;
(f) Request or receive any form of compensation to post reviews and ratings; or
(g) Encourage or enable any other individual to do any of the foregoing.
