Braintrust Terms of Service – Professional Network

1. Professional, Career Help Content and Service. Braintrust enables individuals to get career help from the community and directly from other community members. It does this by connecting Users providing information and advice (“Answerers”) with users seeking information and advice (“Askers”).
2. How Getting Professional Advice Works. Braintrust is a platform for Users to discover, connect with and schedule conversations with other Users in order to exchange career-related information. You may view an Answerer’s Bids as an unregistered visitor to Braintrust. However, if you wish to engage with a User or post a Bid, you must first register to create an Account.
3. Bids. Answerer may create Bids to offer Answerer’s services to Askers. To this end, Answerer may need to provide information regarding the expertise that Answerer offers as well as pricing and other financial terms applicable to Answerer’s offering. Bids will be made publicly available via Talent Node.
Askers will be able to schedule a conversation with Answerer via Braintrust based upon the information provided in Answerer’s Bid. Answerer understands and agrees that once an Asker requests a conversation, the price quoted under Answerer’s Bid may not be altered.
Answerer acknowledges and agrees that Answerer is solely responsible for any and all Bids that Answerer posts. Accordingly, Answerer represents and warrants that any Bid that Answerer posts and the agreements Answerer enters into with the Asker (i) will not breach any agreements that Answerer has entered into with any third parties, (ii) will comply with all applicable laws, Tax requirements, and rules and regulations that may apply to Answerer, and (iii) will not conflict with the rights of third parties. Please note that Talent Node assumes no responsibility for the content of Bids or for any User’s compliance with any applicable laws, rules and regulations.
You understand and agree that Talent Node is not involved in the interactions between Users. You also understand and acknowledge that Talent Node does not edit, modify, filter, screen, monitor, endorse or guarantee User Content or the content of communications between Users.
Talent Node reserves the right, at any time and without prior notice, to remove or disable access to any Bids or Content for any reason, including Bids or User Content that Talent Node, in its sole discretion, considers to be objectionable for any reason, in violation of these Terms or otherwise harmful to Talent Node or the Users of Braintrust.
4. User Transactions. If Asker has received a request from an Answerer, Asker will be required to either confirm or reject the request within the time allocation stated when the request is made (as determined by Braintrust in its sole discretion) or the request will be automatically canceled. When an Asker responds to Answerer’s Bid, we will share with Asker (i) the first and last name (if the Answerer entered it) of the Answerer who has requested the Bid, and (ii) a link to the Answerer’s profile page, so that Asker can view this information before accepting or declining the Bid. When Asker accepts a Bid, Braintrust will send Answerer a confirmation notification.
The amount due and payable by an Asker relating to the Bid with Answerer is quoted in BTRST. Please note that Answerers, and not Talent Node, set the price of all Bids.
In consideration of the Bid, Talent Node charges you certain Site Service Fees based on the total fees collected from Asker on Answerer’s behalf. The Site Service Fee is charged to the Asker and added on top of the amount payable to Answerer for a Bid. At the acceptance of each Bid, Talent Node calculates the amount payable by the Asker to Answerer based on the price quoted under Answerer’s Bid and the applicable Site Service Fees.
Upon satisfactory completion of the work as attested to by the Asker, the full Bid amount in BTRST will be transferred to Answerer’s account. For the avoidance of doubt, transactions between Askers and Answerers are peer-to-peer payments that are executed via a smart contract.
5. Financial Terms of Transactions between Users. Askers and Answerers, not Talent Node, are solely responsible for honoring any confirmed Bids. If an Asker chooses to enter into a transaction with an Answerer by scheduling or confirming a Bid via the Site, these Terms and other terms, conditions, rules and restrictions associated with such Bids may apply.
Asker agrees to pay Talent Node all Site Service Fees due in connection with any Bid. Asker understands and agrees that Talent Node reserves the right, in its sole discretion, to obtain confirmation that Asker has sufficient BTRST balance, and in the case that Asker does not, Talent Node will ask Asker to obtain a sufficient BTRST balance required to proceed with initiating a Bid. At the acceptance of each Bid, Talent Node will process and collect the Bid and Site Service Fees payable in accordance with these Terms and the terms of the Bid.
In connection with Asker’s payment, Asker will be asked to provide customary billing information such as name, billing address and credit card information, ACH information and other information to satisfy KYC requirements either to Talent Node or its third party payment and user verification provider(s). Asker agrees to pay Answerer for any confirmed Bids and Talent Node all Site Service Fees in accordance with these Terms. If Asker is directed to Talent Node’s third party payment processor, Asker may be subject to terms and conditions governing use of that third party’s service and that third party’s personal information collection practices. Please review such terms and conditions and privacy policy before using the services. Once Asker’s transaction is complete, Asker will receive a confirmation email summarizing Asker’s accepted Bid.
In the case of a dispute relating to Asker’s and Answerer’s interaction, Asker and Answerer, and not Talent Node, are solely responsible for initiating a conversation and working through a resolution. Answerer is required to respond to the Asker’s inquiry in a timely manner.
6. Community Moderation. Braintrust will grant certain Users limited access to moderation tools and other additional account features to support the Professional Network. WE ARE NOT RESPONSIBLE FOR THE ACTIONS TAKEN BY THESE USERS WHILE USING THESE ACCOUNT FEATURES. We reserve the right to overturn any action taken by these Users if we, in our sole discretion, believe that such action is not in the interest of Braintrust. We reserve the right to revoke or limit a User’s access to these tools at any time, with or without notice, for any reason or no reason, including for a breach of the Terms or any relevant policies or guidelines.
